Terms of Service

1. Acceptance of Terms

By accessing or using the PHYA platform ("Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not use our Service.

PHYA (Pty) Ltd ("PHYA", "we", "us", or "our") reserves the right to modify these Terms at any time. We will provide notice of material changes through the Service or via email. Your continued use of the Service after such modifications constitutes acceptance of the updated Terms.

2. Description of Service

PHYA is an on-demand personal protection platform that connects users ("Clients") with verified, PSIRA-registered security professionals ("Protection Officers"). Our Service includes:

• Matching Clients with available Protection Officers
• Real-time location tracking during active services
• Secure payment processing
• Communication tools between Clients and Protection Officers
• Service history and rating systems

3. Eligibility

To use our Service, you must:

• Be at least 18 years of age
• Have the legal capacity to enter into a binding agreement
• Provide accurate and complete registration information
• Not be prohibited from using the Service under applicable laws

4. User Accounts

You are responsible for:

• Maintaining the confidentiality of your account credentials
• All activities that occur under your account
• Notifying us immediately of any unauthorized use
• Ensuring your account information remains accurate and up-to-date

We reserve the right to suspend or terminate accounts that violate these Terms or engage in fraudulent activity.

5. Protection Services

For Clients:

• Protection Officers are independent contractors, not PHYA employees
• Services are provided "as available" based on Protection Officer availability
• You must provide accurate location and service information
• You agree to treat Protection Officers with respect and professionalism

For Protection Officers:

• You must maintain valid PSIRA registration at all times
• You must provide services professionally and in accordance with PSIRA regulations
• You are responsible for your own equipment, licensing, and insurance
• You must maintain accurate availability status on the platform

6. Payments and Fees

• Service fees are displayed before booking confirmation
• Payment is processed securely through third-party payment providers
• Cancellation fees may apply as specified at booking
• PHYA retains a service fee from each transaction
• All fees are in South African Rand (ZAR) unless otherwise stated

7. Prohibited Conduct

You agree not to:

• Use the Service for any unlawful purpose
• Impersonate any person or entity
• Interfere with or disrupt the Service
• Attempt to gain unauthorized access to any systems
• Harass, threaten, or intimidate other users
• Use the Service to facilitate illegal activities
• Provide false or misleading information

8. Intellectual Property

All content, features, and functionality of the Service, including but not limited to text, graphics, logos, and software, are owned by PHYA or its licensors and are protected by intellectual property laws. You may not copy, modify, distribute, or create derivative works without our express written consent.

9. Limitation of Liability

To the maximum extent permitted by law:

• PHYA provides the platform "as is" without warranties of any kind
• PHYA is not liable for actions or omissions of Protection Officers
• PHYA is not liable for indirect, incidental, or consequential damages
• Our total liability shall not exceed the fees paid by you in the preceding 12 months

10. Indemnification

You agree to indemnify and hold harmless PHYA, its officers, directors, employees, and agents from any claims, damages, losses, or expenses arising from your use of the Service or violation of these Terms.

11. Dispute Resolution

Any disputes arising from these Terms or your use of the Service shall be resolved through:

1. Good faith negotiation between the parties
2. Mediation by a mutually agreed mediator
3. Arbitration in accordance with South African law

These Terms are governed by the laws of the Republic of South Africa.

12. Privacy

Your use of the Service is also governed by our Privacy Policy, which describes how we collect, use, and protect your personal information.

13. Termination

Either party may terminate this agreement at any time. PHYA may suspend or terminate your access to the Service immediately, without prior notice, for conduct that we believe violates these Terms or is harmful to other users, PHYA, or third parties.

14. Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions shall continue in full force and effect.
